Fund Parameters
Spinoffy 1 is a sub-fund of Spinoffy SICAV a.s., a qualified investors fund established under Czech law and regulated under the Act No. 240/2013 Coll., administered and managed by AMISTA investiční společnost, a.s., a licensed investment company supervised by the Czech National Bank.
Minimum Investment
For qualified investors under Section 272(1)(i) of the Czech Act on Investment Companies and Investment Funds (ZISIF):
CZK 12,500,000, or
EUR 500,000 (or equivalent in another currency)
Investment Target & Strategy
Target fund size: EUR 14 million
Strategy: early-stage deep-tech investments across PoC → Pre-Seed → Seed, with active incubation and structured tech-transfer support.
Investment Horizon
Initial term: 10 years from the Initial Closing Date
Extension options: Two additional 1-year extensions
Subscription & Redemption Fees
Subscription fee: 0%
Early Redemption Fee:
80% of the value of the redeemed Securities during the first 9 years from the Fund’s inception, thereafter 0%.
The Early Redemption Fee is retained by the Sub-Fund.
Management Fee
During the investment period (Years 1–6):
2.0% p.a. of Aggregate Commitments of all LPs
After the investment period (Year 7+):
1.5% p.a. (step-down) on Invested Capital (cost basis of portfolio)
